Agreement to Terms

By accessing or using the Appsphero website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Use License

Permission is granted to temporarily access the materials on Appsphero's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or public display
  • Attempt to decompile or reverse engineer any software on our website
  • Remove any copyright or proprietary notations from the materials
  • Transfer the materials to another person or mirror the materials on any other server

Appsphero provides specialized AI engineering and platform development services including but not limited to:

  • Autonomous AI agent and enterprise copilot engineering
  • LLM integration, RAG architectures, and fine-tuning
  • Predictive analytics and machine learning forecasting models
  • AI-augmented custom web platforms and high-performance applications
  • No-code workflow and intelligent business automation
  • Enterprise AI strategy and technical consulting

Specific terms for each service engagement will be outlined in individual project agreements or statements of work.

Project Agreements

All project work is governed by individual project agreements that include:

  • Scope of work and deliverables
  • Timeline and milestones
  • Payment terms and schedule
  • Intellectual property rights
  • Confidentiality provisions
  • Support and maintenance terms

Payment Terms

Unless otherwise specified in a project agreement:

  • Payment terms will be outlined in the project proposal
  • A deposit may be required before work begins
  • Payments are typically structured around project milestones
  • Final payment is due upon project completion
  • Late payments may incur additional fees
  • All fees are non-refundable unless otherwise stated

Intellectual Property

Upon full payment for services:

  • Clients receive full ownership of custom-developed code and deliverables
  • Third-party components remain subject to their respective licenses
  • Appsphero retains the right to use general knowledge and techniques
  • Portfolio rights may be negotiated in the project agreement

All materials on this website, including text, graphics, logos, and software, are the property of Appsphero and protected by copyright laws.

Confidentiality

We respect the confidentiality of our clients' information. All project-related information, business data, and proprietary materials shared with us will be kept confidential and used solely for the purpose of delivering the agreed-upon services. We are willing to sign Non-Disclosure Agreements (NDAs) as needed.

Warranties and Disclaimers

We strive to deliver high-quality services, but:

  • Services are provided "as is" without warranties of any kind
  • We do not guarantee uninterrupted or error-free service
  • We are not responsible for third-party services or integrations
  • Specific warranties may be provided in project agreements

We provide a reasonable warranty period for bug fixes related to our work, as specified in individual project agreements.

Limitation of Liability

To the maximum extent permitted by law, Appsphero shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

Termination

Either party may terminate a project agreement under the following conditions:

  • Written notice as specified in the project agreement
  • Material breach of terms by either party
  • Mutual agreement to terminate

Upon termination, payment is due for all work completed up to the termination date.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services shall be resolved through good faith negotiation or, if necessary, through appropriate legal channels.
